II. Organs

The Association has the following bodies:

  • General assembly
  • Board of directors
  • Audit

The board of directors is the responsible body and has the non-transferable obligation (cf. art. 19 of the assembly’s articles of incorporation) of supervision over all management bodies, namely with regards to the abidance of all relevant laws, statutes, regulations and policies. Furthermore, the board is responsible for all decisions of exceptional interest.

The board has delegated the management of the Association to the Chief Executive Officer (CEO). The CEO is responsible for the management of all operations of the Association. Together with the Legal & Compliance Desk, the CEO is responsible for the supervision over the association’s members.

The structure and responsibilities of VQF are aimed at providing the greatest possible efficiency for the benefit of the members. The Association Board ensures the effective strategic management of VQF, sets the annual goals, controls the fulfilment of such goals and takes care of contact with governmental agencies and the media. The Association Board comprises numerous individuals with a broad range of knowledge and a wide network of contacts in and around the parabanking sector.

The Association Board has delegated a large share of day-to-day operational responsibilities to the CEO and other organisational units as provided for in the by-laws.
